We’ve kept the full terms below to make everything clear and fair. But here’s the short version so you know what to expect:
- How we work: We design presentations either by subscription (ongoing support with a monthly or quarterly quota of slides) or on a project basis (one-off engagements).
- Deposits & payments: Project work requires a 50% upfront deposit. Subscriptions are billed in advance. Invoices are in GBP, exclusive of VAT.
- Revisions: You get up to 3 rounds of reasonable revisions per project or subscription deliverable. Bigger changes may cost extra.
- Slide quotas: Monthly quotas reset each month (no carry-over). Quarterly subscriptions provide a pooled quota across the 3-month period.
- Cancellations: Subscriptions need 30 days’ notice to cancel. Project deposits are non-refundable once work starts.
- Intellectual property: Final files are yours once full payment is received. If work is refunded, we keep ownership.
- Liability: We always aim for quality, but our liability is capped at the value of the project or one month’s subscription.

Service Agreement
Slide Number Ltd, trading as Depicts
1. Introduction
This Service Agreement (“Agreement”) is entered into between Slide Number Ltd, trading as Depicts (“we,” “us,” or “Depicts”), and the client (“you” or “Client”) utilising our presentation design services through our website. This Agreement outlines the terms and conditions governing the provision of our services.
2. General Terms
These terms and conditions (“Terms”) outline the rights, obligations, and restrictions that apply between the Client and Depicts when the Client purchases our services and accesses our website at www.depicts.com (“our website”). By accessing, using, or downloading any of the data and services provided by us, you agree to these Terms.
In order to use our Services, you must (a) be at least 18 years of age, and (b) have the legal capacity to enter into a binding contract and not be restricted from doing so by any applicable law. You warrant that any information provided to us is accurate, complete, and up to date.
3. Scope of Services
Depicts offers professional presentation design services, including but not limited to redesigning and enhancing slides based on drafts provided by the Client. Our services aim to elevate the impact and quality of your presentations, aligning with your branding and messaging requirements. Services may be provided either on a subscription basis or as a one-off project engagement. Both options are governed by this Agreement.
4. Working Hours, Capacity, and Availability
Our standard operating hours are from 9:00 AM to 5:00 PM UK time, Monday to Friday. We strive to respond to communications and deliver services promptly within these hours. Communications received outside these hours will be addressed on the next working day.
We strive to deliver all customer slides as quickly as possible. As a guide, we aim to design up to 20 slides within a single business day and deliver most projects within 24-48 hours of confirming receipt of the files and starting the project. However, the number of slides we can deliver depends on the Customer’s subscription plan or agreed project scope. Additionally, factors such as slide complexity and the notice given before submitting a brief may impact the time required for design completion.
Our services are primarily produced in the UK, but we may choose to produce them from another location with prior notice to the Customer.
Our service availability follows the UK calendar, and services may be unavailable on UK national holidays. The total days of unavailability will not exceed 22 business days within any 12-month period.
If our performance is hindered by an act or omission by the Customer, such non-performance will not be considered a breach of contract. We reserve the right to reject orders if capacity is low, during holidays, or for other operational reasons. Customers will be notified as soon as possible if their order cannot be processed within the requested timeframe.
5. Formation of Contract
Depicts provides its services on both a case-by-case basis and as part of a subscription service. A contract is formed when we accept your order by providing written confirmation detailing the agreed services, pricing, and delivery schedule. Orders are generally placed by uploading draft slides via email or through any submission method provided by Depicts. The price and delivery time quoted are indicative and subject to final confirmation. If necessary, we may contact you to inform you of any changes to the price and/or delivery timeline. This communication serves as an offer to provide the service. A binding contract for our services is established once you accept these adjustments. By agreeing to the quoted price, you are entering into a final and irrevocable agreement.
6. Delivery of Services
We will deliver the agreed-upon services by the deadline specified in our confirmation. Upon delivery within a subscription, you are entitled to 3 rounds of revisions per project, defined as changes of no more than 10% from the initial design, at no additional cost. Examples of revisions that fall within the 10% limit include minor text updates, small layout adjustments, or simple graphical tweaks. Significant changes, such as redesigning entire slides, adding new content, or altering complex visual elements, may incur additional charges, which will be communicated to you in advance.

If no response is received from you after three attempts to contact by email regarding approval of services or revisions, the services will be deemed approved, and payment will be processed accordingly.
7. Payment Terms
7.1 Deposits for Project-Based Work
For project-based engagements (non-subscription), a non-refundable deposit of fifty percent (50%) of the quoted fee is required before work commences. The remaining balance is payable upon delivery of the agreed services. If a project is cancelled by the Client after work has begun, the deposit will be retained by Depicts and any additional time spent will be invoiced on a pro-rata basis.
7.2 Subscription Services
Subscription services are billed in advance, with fees due upon receipt of the invoice. Payments can be made via Stripe or other methods specified on our website. Subscription renewals, cancellations, and overage billing are managed in line with Section 10 of this Agreement.
7.3 Refunds and Cancellation Rights
Depicts reserves the right to refuse, cancel, or terminate any project or subscription at its sole discretion, whether or not work has commenced. In such cases, any fees already paid will be refunded on a pro-rated basis for work not delivered. Refunds will exclude any non-refundable payment processing, bank, or transaction charges incurred by Depicts.
7.4 Payment Timing
Payment is due immediately upon your approval of the delivered services or upon deemed approval. Late payments may result in suspension of services until all outstanding amounts are settled.
In the event of late payment, Depicts reserves the right to charge statutory interest on overdue amounts in accordance with the UK Late Payment of Commercial Debts (Interest) Act 1998. Interest will accrue daily at the rate of 8% above the Bank of England base rate from the due date until payment is received in full. Depicts also reserves the right to recover reasonable debt collection costs.
All prices are quoted in pounds sterling (GBP) and are exclusive of UK Value Added Tax (VAT), which will be applied at the prevailing rate where applicable.
Any disputes regarding invoicing or billing must be raised in writing to [email protected]
within 10 calendar days of the invoice date. If no dispute is raised within this period, the invoice will be deemed accepted in full.
For the purposes of this Agreement, “business days” means Monday to Friday, excluding UK public holidays. All times referenced in this Agreement are based on UK time.
8. Intellectual Property Rights
All intellectual property rights in the final deliverables, including but not limited to presentation files, templates, and layouts, will transfer to the Client upon full payment of all fees due. Ownership does not transfer if any refund is issued under Section 7.3 or Section 10. In such cases, all materials produced remain the property of Depicts and may not be used by the Client in any capacity.
Depicts retains the right to keep copies of deliverables solely for internal record-keeping, portfolio, or promotional use, unless otherwise agreed in writing with the Client.
9. Data Protection
Depicts processes personal data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Personal data will only be used for the purpose of providing services, managing billing, and maintaining client relationships. By entering into this Agreement, the Client consents to such processing.
10. Subscriptions
Subscription services are based on the design and formatting of content provided by the Client, using a client-provided template and adhering to a specified style guide. Where relevant, bespoke layouts and graphical enhancements may be created, but this remains at our discretion.
The standard subscription period is either 1 month or 3 months, unless an alternative duration is mutually agreed upon by both the Customer and the Company. At the end of each subscription period, the subscription will automatically renew, and the subscription fee will be charged to the payment card provided by the Customer during registration.
If the Company does not receive a cancellation notice at least one month before the current subscription period ends, the subscription will automatically renew for the next period. Subscription terms are non-terminable during the active subscription period. If you decide to cancel the subscription before the subscription period ends, no refund will be provided for the remaining time.
Subscription fees are occasionally subject to change, with 30 days’ prior notice given for any adjustments.
To maintain high-quality standards and timely delivery, we focus on one project per client at a time. Clients may adjust the priority order if multiple projects are in the queue.
The Company reserves the right to terminate subscriptions immediately at its discretion. If termination occurs without any breach of these Terms by the Client, a prorated refund may be provided.
Unless explicitly permitted by the Company, the subscription provided under these Terms is solely for the personal use of the Customer and cannot be transferred or used by any third party.
Refund requests are evaluated individually. If the Client requests a refund within the first month of service, all materials produced by Depicts will remain the property of the company and cannot be used by the Client in any capacity. If a refund is approved, a 25% fee will be deducted to cover Company time and incurred expenses, and refunds will exclude any non-refundable payment processing, bank, or transaction charges.
Definition of a Slide
For the purposes of subscription quotas and billing, a “slide” is defined as one unique presentation page delivered by Depicts in an editable file format (such as PowerPoint or Google Slides). Each slide counts as one unit regardless of whether it contains text, images, charts, tables, or other content. Variations of the same slide (for example, alternative layouts or versions) are each counted as separate slides. Updates to existing slides provided by the Client are also counted as slides if they require design work.
Slide Quotas and Carry-Over
For monthly subscriptions, unused slides do not carry over into the following month. Each new month begins with a fresh quota.
For quarterly subscriptions, the total slide allowance is treated as a pooled quota across the three-month billing period. For example, a 40-slide plan billed quarterly provides 120 slides to be used in any combination during the three-month period. At the end of the quarter, any unused slides expire.
10.1. Usage and Billing
To provide transparency around usage-based billing, the following practices apply to all subscription clients:
Slide Quotas and Overage Charges
Each subscription includes a slide quota defined in your service agreement or onboarding confirmation (monthly quotas for monthly plans, or pooled quotas for quarterly plans). When projects exceed this quota, additional charges will apply at the rate agreed in your Stripe subscription (typically per-slide overage). These charges are logged during the billing period and added automatically to your next invoice.
Tracking Usage
Slide usage is tracked manually by Depicts. A running total is maintained internally, and you may request a usage breakdown at any time by contacting Depicts via email.
Billing Timing
Slide overages are logged when a project is delivered. If a project spans two months, we may log all slides in the month of final delivery unless a manual split is agreed. Overages are billed at the end of the current billing period and appear as separate line items on your next invoice.
Viewing Charges
Invoices will include an itemised list of subscription fees and any usage-based charges. Additional details can be requested by email at any time.
Project Submissions
Clients normally submit projects through a shared form provided by Depicts. If the form is unavailable for any reason, projects may instead be submitted via email. Project priority is managed by Depicts and may be updated following client comment or request. Clients may not directly alter project fields.
Cancellation Policy
Subscription cancellations require 30 days’ notice in writing. You will be charged for one final month after notice is given. This final invoice will include the base subscription amount and any additional charges for slide overages incurred before or during the notice period. Work will continue as normal during the 30-day period.
Quarterly subscriptions:
Quarterly subscriptions are non-refundable and non-cancellable during the active quarter. To avoid automatic renewal, cancellation must be submitted at least 30 days before the end of the current quarter. No additional charges will apply beyond the prepaid period if notice is given in time.
Team Access
Clients may request access for additional team members to view or comment on projects. User access is managed manually; clients may not add or remove users without Depicts’ involvement. You may request changes to team access by contacting Depicts directly.
11. Project-Based Engagements
Project-based work is scoped individually and agreed in writing before commencement. Pricing is typically based on a defined number of slides or deliverables, as set out in your proposal or confirmation. Unless otherwise agreed, the following terms apply:
A 50% non-refundable deposit is payable before work commences (see Section 7.1).
The balance is payable upon delivery of the agreed work.
You are entitled to up to 3 rounds of revisions per project, within the scope defined at the outset.
Additional work beyond the agreed scope (e.g. extra slides, animation, photography, iconography, or major changes) will be charged at our prevailing day rate or an agreed per-slide fee.
Delivery timelines will be confirmed in advance, but may be affected by project complexity or delays in receiving materials.
12. Client Responsibilities
The Client is responsible for providing all necessary content, materials, and clear instructions required for the completion of the services. Delays in providing these materials may affect the delivery timeline.
13. Confidentiality
We are committed to maintaining the confidentiality of all information you provide. We will not disclose any project-related information to third parties without your consent, except as required by law.
14. Termination
Either party may terminate this Agreement with written notice. If you terminate after work has commenced, you will be responsible for payment for services rendered up to the termination date. Refunds for subscription services will be handled in accordance with our refund policy.
15. Limitation of Liability
Depicts shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid for the specific service in question.
The use of our services is entirely at your own risk. Services are provided on an ‘as is’ and ‘as available’ basis. We disclaim all warranties, whether express or implied, to the fullest extent permitted by law, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantee that: (i) the services will meet your specific requirements; (ii) the services will be uninterrupted, timely, secure, or error-free; (iii) the results obtained from using the services will be accurate or reliable; (iv) the quality of slides, products, services, information, or other materials obtained will meet your expectations; or (v) any part of the services will be free of faults or meet any conditions of quality and fitness for purpose. No advice or information, whether oral or written, obtained from us will create any warranty not explicitly stated in these terms.
Under no circumstances, including delays or non-performance, shall the Company, its subsidiaries, affiliates, suppliers, or their respective owners, officers, managers, members, agents, and employees, be liable to the Customer for any loss of profits, business interruptions, loss of business information, opportunities, data, or any direct, indirect, incidental, consequential, special, exemplary, or punitive damages or losses. This applies whether based in contract, tort, or otherwise, arising from the use of, or inability to use, the Services or any content delivered, even if the Company has been advised of the possibility of such damages, unless resulting from gross negligence or willful misconduct by the Company. In any case, the Company’s liability will be limited to typical and foreseeable damage and will not exceed the fees for a one-month subscription period or the client’s most recent project cost for non-subscription clients.
You agree to indemnify, defend (if requested), and hold harmless (1) the Company, its affiliates, and their directors, officers, and employees; and (2) any data providers, from any losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) that arise from any third-party claim, action, or proceeding due to your breach of any warranty, representation, or obligation under these Terms.
We reserve the right to transfer our rights and obligations under these Terms to another provider without your prior consent.
16. Force Majeure
Depicts shall not be held liable or responsible for any failure or delay in performance of its obligations under this Agreement where such failure or delay arises from causes beyond its reasonable control. These causes include but are not limited to acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, strikes or labour disputes, power failures, internet or communication outages, governmental action, or any other event outside Depicts’ reasonable control. In such circumstances, obligations will be suspended for the duration of the event, and Depicts will use reasonable efforts to resume services as soon as practicable.
17. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Acceptance
By engaging our services and completing payment via our website, you acknowledge that you have read, understood, and agree to the terms outlined in this Agreement.
19. Waiver of Statutory Right to Cancel the Purchase
This section is intended specifically for customers acting as consumers.
Under normal circumstances within the European Union, customers have a 14-day cancellation period from the date of purchase for digital content contracts.
However, by placing an order for the delivery of services or subscribing, you request that the supply of digital content begins within the 14-day cancellation period. You acknowledge that payment, whether on a case-by-case basis or for a subscription, is for the supply of digital content related to the Services or the entire subscription period. Consequently, you waive the right to a refund once the service provision has begun.
For customers outside the European Union, where applicable law provides a right to cancel the purchase and the choice of law in these Terms is not recognised, the following conditions apply:
By purchasing the Services, credit packages, or a subscription, or beginning the use of these services, whichever occurs first, you agree to waive any statutory rights to revoke your purchase or claim a refund. In cases where this waiver is prohibited by law, the cancellation period will be limited to 7 days or the minimum duration allowed by applicable law.
20. Usage Policy
We reserve the right to modify, suspend, or discontinue any aspect of your subscription at any time, including the availability of features, databases, and content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without liability. If these changes or suspensions result in a termination of the Services, you may be entitled to a partial refund for any charges paid.
You are not permitted to reproduce (except for your own authorised use), publish, transmit, distribute, license, publicly display, rent, lend, modify, sell, or participate in the sale of, or exploit in any manner, any part of the Services or data provided by Depicts, either wholly or partially, directly or indirectly.
